1. Introduction

These Terms of Service ("Terms") govern the relationship between Zarzou Consultancy FZ LLC ("Zarzou", "we", "our", or "us") and any individual or entity ("Client", "you") that engages our regulatory consultancy services or accesses our website. By submitting an intake form, entering into an engagement letter, or otherwise instructing Zarzou to act on your behalf, you agree to be bound by these Terms.

2. Scope of Engagement

Zarzou provides regulatory consultancy, filing support, and documentation services in connection with UAE federal and emirate-level authorities, including but not limited to: FTA, MOD, MOHAP, TDRA, ADDA, VARA, MoIAT, GCAA, UAESA, MOE, and MOI.

The specific scope of each engagement is defined in a written engagement note or letter issued at the commencement of services. Services not expressly described in the engagement note are excluded from scope. Zarzou does not provide legal advice, legal representation, or regulated financial services as defined under UAE law.

All timelines communicated are estimates based on typical authority processing periods and are subject to change without notice by the relevant government body. Zarzou does not guarantee approval outcomes, specific processing times, or authority decisions.

3. Client Obligations

The Client agrees to:

  • Provide accurate, complete, and up-to-date information and documentation as required for the engagement
  • Notify Zarzou promptly of any changes to the entity, its ownership structure, or the regulatory matter under engagement
  • Review and approve all documents, forms, and declarations prior to submission to any authority
  • Obtain any required authorizations, powers of attorney, or board resolutions necessary for Zarzou to act on the Client's behalf
  • Pay applicable fees in accordance with the agreed engagement terms

Zarzou shall not be liable for delays, rejections, or adverse outcomes arising from inaccurate, incomplete, or untimely information provided by the Client.

4. Confidentiality

Each party agrees to keep confidential all non-public information received from the other party in connection with an engagement ("Confidential Information"). Zarzou will not disclose the Client's Confidential Information to any third party except:

  • To UAE government authorities and regulatory bodies as strictly necessary to complete the filing or registration
  • To authorized sub-contractors or service providers bound by equivalent confidentiality obligations
  • As required by applicable UAE law, court order, or regulatory mandate
  • With the Client's prior written consent

Confidentiality obligations survive the termination of the engagement for a period of five (5) years, or for such longer period as required by applicable law.

5. Fees and Payment

Fees for services are set out in the applicable engagement letter or proposal and are due as specified therein. Unless otherwise agreed in writing, fees are non-refundable once work has commenced. Authority fees, government charges, courier costs, translation expenses, and any other third-party disbursements incurred on the Client's behalf are charged separately and at cost.

Zarzou reserves the right to suspend services in the event of non-payment without prejudice to its right to recover outstanding amounts.

6. Limitation of Liability

To the maximum extent permitted by applicable UAE law, Zarzou's total aggregate liability to the Client for any claim arising out of or in connection with services rendered shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim.

Zarzou shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of business, loss of profit, loss of opportunity, regulatory penalty, or reputational harm, whether arising in contract, tort, or otherwise, even if advised of the possibility of such damages.

Zarzou does not guarantee that any filing, application, or submission will result in approval by the relevant authority. Authority decisions are entirely within the discretion of the relevant government body and outside Zarzou's control.

7. Intellectual Property

All templates, standard-form documents, methodologies, checklists, and internal processes developed by Zarzou remain the sole intellectual property of Zarzou Consultancy FZ LLC. Client-specific dossiers, completed forms, and filing records prepared exclusively for the Client's engagement are delivered to the Client upon completion and payment of applicable fees.

8. Termination

Either party may terminate an engagement by providing written notice. Upon termination, the Client shall pay for all services rendered and disbursements incurred up to the date of termination. Zarzou will deliver to the Client all completed work product and return original documents provided by the Client.

Zarzou reserves the right to withdraw from an engagement immediately if the Client provides false or misleading information, requests that Zarzou act in violation of UAE law, or fails to remedy a material breach within five (5) business days of written notice.

9. Anti-Money Laundering & Compliance

Zarzou is committed to compliance with applicable UAE anti-money laundering (AML) and counter-terrorism financing (CTF) regulations. As part of our client onboarding, we are required to conduct know-your-customer (KYC) verification and may request documentation regarding the source of funds, beneficial ownership, and business activity. Engagements may be declined or suspended where satisfactory KYC cannot be completed.

10. Governing Law & Dispute Resolution

These Terms and any engagement governed by them are subject to the laws of the United Arab Emirates. Any dispute, controversy, or claim arising out of or relating to these Terms or the services provided shall first be addressed through good-faith negotiation between the parties. If unresolved within thirty (30) days, disputes shall be submitted to the exclusive jurisdiction of the courts of Ras Al Khaimah, UAE.

11. Amendments

Zarzou reserves the right to update these Terms at any time. Changes will be published on this page with a revised effective date. Continued engagement of Zarzou's services after the publication of updated Terms constitutes acceptance of the revised Terms.
